Website Design Services Terms & Conditions:

  1.  Scope of Work: 1.1 The Client agrees to engage Moonlight Marketing LLC for the design and development of a website as outlined in the attached proposal.
  2. Payment Terms: 2.1 The Client agrees to pay Moonlight Marketing LLC a non-refundable deposit of 50% of the total project cost upon signing this contract. 2.2 The final payment, including any additional charges incurred during the project, is due upon completion and prior to the delivery of the finalized brand identity. Payments are accepted via ACH Bank Transfer and Credit Card through FreshBooks Invoicing. 2.3 Moonlight Marketing reserves the right to withhold any deliverables until all payments are made on time. The release of any and all deliverables will occur only upon the receipt of the full payment outlined in the invoice. This policy ensures a fair and equitable arrangement for both parties, emphasizing the completion of payments as a prerequisite for the delivery of finalized work.
  3. Change Requests: 3.1 Any features, pages, amendments, or modifications not within the scope of the proposal require a separate change request, which may incur additional costs.
  4. Project Timeline: 4.1 Both parties agree to adhere to the project timeline specified in the proposal. 4.2 Delays caused by the Client, including late provision of content or feedback, may result in adjustments to the project timeline and additional charges. 4.3 If Moonlight Marketing LLC requires more time to complete the project, written approval must be sought from the Client.
  5. Client Responsibilities: 5.1 The Client is responsible for providing all necessary materials, content, and information required for the website. 5.2 The Client agrees to review and provide feedback on deliverables promptly to avoid project delays. 5b Hosting Account Setup: 5.b.1 The Client agrees to set up a website hosting account through SiteGround.com. 5.b.2 Moonlight Marketing LLC is not responsible for payment required for hosting services, and the Client acknowledges that hosting fees are separate from the project cost. 5.b.3 Upon the Client's signature of this proposal and the initial payment, Moonlight Marketing LLC will provide detailed instructions for signing up and paying for hosting services through SiteGround.com. 5.b.4 It is imperative that the Client promptly completes the hosting setup process to avoid delays in the website design process. 5.b.5 In the event of a delay caused by the Client in setting up the hosting account, Moonlight Marketing LLC will not be held responsible for resulting delays in the project timeline. 5.b.6 Any delays in the hosting setup process may necessitate adjustments to the project timeline and could incur additional charges. Moonlight Marketing LLC will communicate any timeline or pricing changes promptly and seek the Client's approval before proceeding.
  6. Confidentiality: 6.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. 6.2 The confidentiality obligation extends 2 years beyond the completion of the project.
  7. Termination: 7.1 Either party may terminate the contract with written notice if the other party breaches any material term or condition of this agreement. 7.2 In the event of termination, the Client agrees to pay for all services provided up to the date of termination.
  8. Warranty: 8.1 Moonlight Marketing LLC warrants that the website will function according to the specifications outlined in the proposal for a period of 365 days after completion. 8.2 Warranty claims must be submitted in writing, and Moonlight Marketing LLC will address them promptly. 8.3 The warranty does not cover issues caused by changes to the website made by parties other than Moonlight Marketing LLC.
  9. Force Majeure: 9.1 Neither party shall be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control.
  10. Intellectual Property and Portfolio Usage: 10.1 All works produced by Moonlight Marketing LLC for the Client's website shall be the sole intellectual property of the Client. 10.2 Moonlight Marketing LLC reserves the right to use visual representations, screenshots, and analytical data of the final product for the purpose of the company's project portfolio and other marketing campaigns.
  11. Severability: 11.1 If any provision of this agreement is held invalid by any competent court, such invalidity shall affect only the said provision, and the remaining provisions shall continue to be valid and enforceable.
  12. Governing Law: 12.1 This agreement shall be governed by and construed in accordance with the laws of New Jersey, USA.

Branding & Identity Terms & Conditions:

  1. Scope of Work: 1.1 The Client agrees to engage Moonlight Marketing LLC for the development of a comprehensive brand identity, including logo design, branding guidelines, marketing materials, colors, fonts, and related visual elements, as outlined in the attached proposal. Some Branding & Identity services may be omitted or added as outlined and agreed upon in the attached proposal.
  2. Payment Terms: 2.1 The Client agrees to pay Moonlight Marketing LLC a non-refundable deposit of 50% of the total project cost upon signing this contract. 2.2 The final payment, including any additional charges incurred during the project, is due upon completion and prior to the delivery of the finalized brand identity. Payments are accepted via ACH Bank Transfer and Credit Card through FreshBooks Invoicing. 2.3 Moonlight Marketing reserves the right to withhold any deliverables until all payments are made on time. The release of any and all deliverables will occur only upon the receipt of the full payment outlined in the invoice.   6. Confidentiality: 6.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. 6.2 The confidentiality obligation extends 2 years beyond the completion of the project.

  10. Severability: 10.1 If any provision of this agreement is held invalid by any competent court, such invalidity shall affect only the said provision, and the remaining provisions shall continue to be valid and enforceable.

Social Media Management Services Terms & Conditions:

  1. Scope of Work: 1.1 The Client agrees to engage Moonlight Marketing LLC for the Social Media Management services as outlined in the attached proposal.
  2. Payment Terms: 2.1 The Client agrees to pay the first monthly payment upon signing this contract. 2.2 Subsequent monthly payments are due every 30 days from the date of the initial payment throughout the term of this agreement, as specified in the timeline within the attached proposal. 2.3 The final monthly payment for the last month of the contract term is due upon completion and prior to the delivery of the finalized social media management services. 2.4 All payments are accepted via ACH Bank Transfer and Credit Card through our payment partner, FreshBooks Invoicing. 2.4 Moonlight Marketing reserves the right to withhold any deliverables until all recurring payments are made on time. The release of any and all deliverables will occur only upon the receipt of the full payment outlined in the invoice for the respective month. This policy ensures a fair and equitable arrangement for both parties, emphasizing the completion of payments as a prerequisite for the delivery of finalized work.
  3. Change Requests: 3.1 Any additional amendments or modifications not within the scope of the proposal require a separate change request, which may incur additional costs.
  4. Project Timeline: 4.1 Both parties agree to adhere to the project timeline specified in the proposal. 4.2 Delays caused by the Client, including late provision of content or feedback, may result in adjustments to the project timeline and additional charges. 4.3 If Moonlight Marketing LLC requires more time to complete the project, written approval must be sought from the Client.
  5. Client Responsibilities: 5.1 The Client is responsible for providing all necessary materials, content, and information required for the social media management services. 5.2 The Client agrees to review and provide feedback on deliverables promptly to avoid project delays.
  6. Social Media Account Access: 6.1 The Client agrees to provide necessary access and credentials for the social media accounts designated for management. 6.2 Moonlight Marketing LLC will use the provided access solely for the purpose of executing the agreed-upon social media management services.
  7. Confidentiality: 7.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. 7.2 The confidentiality obligation extends 2 years beyond the completion of the project.
  8. Termination: 8.1 Either party may terminate the contract with written notice if the other party breaches any material term or condition of this agreement. 8.2 In the event of termination, the Client agrees to pay for all services provided up to the date of termination.
  9. Force Majeure: 9.1 Neither party shall be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control.

Intellectual Property and Portfolio Usage: 10.1 All works produced by Moonlight Marketing LLC for the Client's social media management shall be the sole intellectual property of the Client. 10.2 Moonlight Marketing LLC reserves the right to use visual representations, screenshots, and analytical data of the final product for the purpose of the company's project portfolio and other marketing campaigns.

Digital Advertising Services Terms & Conditions:

  1. Scope of Work: 1.1 The Client agrees to engage Moonlight Marketing LLC for Digital Advertising services, encompassing paid advertising on platforms such as Facebook, Instagram, LinkedIn, and Google, as outlined in the attached proposal.
  2. Payment Terms: 2.1 The Client agrees to make the first monthly payment upon signing this contract. 2.2 Subsequent monthly payments are due every 30 days from the date of the initial payment throughout the term of this agreement, as specified in the timeline within the attached proposal. 2.3 The final monthly payment for the last month of the contract term is due upon completion and prior to the delivery of the finalized digital advertising services. 2.4 Due to the customizable nature of digital advertising campaigns, the payment structure may be altered to fit the Client’s budget and campaign strategy as outlined in this proposal. 2.5 Payments are accepted via ACH Bank Transfer and Credit Card through FreshBooks Invoicing. 2.6 Moonlight Marketing reserves the right to withhold any deliverables until all recurring payments are made on time. The release of any and all deliverables will occur only upon the receipt of the full payment outlined in the invoice for the respective month. This policy ensures a fair and equitable arrangement for both parties, emphasizing the completion of payments as a prerequisite for the delivery of finalized work.
  3. Change Requests: 3.1 Any changes to the digital advertising campaign, additional platforms, or modifications not within the scope of the proposal require a separate change request, which may incur additional costs.
  4. Project Timeline: 4.1 Both parties agree to adhere to the project timeline specified in the proposal. 4.2 Delays caused by the Client, including late provision of necessary assets or feedback, may result in adjustments to the project timeline and additional charges. 4.3 If Moonlight Marketing LLC requires more time to optimize and enhance the digital advertising campaign, written approval must be sought from the Client.
  5. Client Responsibilities: 5.1 The Client is responsible for providing all requested materials, including images and any required access to advertising accounts. 5.2 The Client agrees to review and provide feedback on campaign performance promptly to maximize effectiveness.
  6. Advertising Account Access: 6.1 The Client agrees to provide necessary access and credentials for the advertising accounts on platforms like Facebook, Instagram, LinkedIn, and Google. 6.2 Moonlight Marketing LLC will use the provided access solely for the purpose of executing the agreed-upon digital advertising services.
  7. Confidentiality: 7.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the campaign. 7.2 The confidentiality obligation extends 2 years beyond the completion of the campaign.
  8. Termination: 8.1 Either party may terminate the contract with written notice if the other party breaches any material term or condition of this agreement. 8.2 In the event of termination, the Client agrees to pay for all services provided up to the date of termination.
  9. Force Majeure: 9.1 Neither party shall be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control.

Intellectual Property and Portfolio Usage: 10.1 All creative assets produced by Moonlight Marketing LLC for the digital advertising campaign shall be the sole intellectual property of the Client. 10.2 Moonlight Marketing LLC reserves the right to use visual representations, screenshots, and analytical data of the final campaign for the purpose of the company's project portfolio and other marketing campaigns.
  11. Severability: 11.1 If any provision of this agreement is held invalid by any competent court, such invalidity shall affect only the said provision, and the remaining provisions shall continue to be valid and enforceable.
